Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the Rosvetic suite of software products and related services (collectively, the "Services"), operated by Rosvetic ("we", "us", "our").

By creating an account, accessing, or using the Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and all references to "you" in these Terms will refer to that organisation.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the full legal capacity to enter into a binding contract.

Access to the Services may be restricted in certain jurisdictions. It is your responsibility to ensure that your use of the Services complies with all laws and regulations applicable to you.

Your account

To access the Services you may be required to register an account. You agree to:

• Provide accurate, current, and complete information when creating your account and keep it up to date
• Maintain the confidentiality of your account credentials and not share them with any third party
• Notify us immediately at privacy@rosvetic.com if you become aware of any unauthorised access to or use of your account
• Accept full responsibility for all activity that occurs under your account, whether or not authorised by you

You may not transfer, assign, or sell your account to any other person or entity without our prior written consent.

Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates any applicable local, national, or international law or regulation
• Use the Services to transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorised access to any part of the Services, our systems, or networks connected to the Services
• Interfere with, disrupt, or place an unreasonable burden on the Services or the infrastructure used to deliver them
• Upload, transmit, or distribute any virus, malware, spyware, or other harmful or malicious code
• Use automated means — including bots, scrapers, or crawlers — to access, collect, or extract data from the Services without our prior written consent
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services
• Use the Services to develop or assist in the development of any product or service that competes with the Services
• Sublicense, resell, or otherwise commercially exploit the Services or any part thereof without our express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to investigate any suspected violation of this section and to take appropriate action, including suspension or termination of access.

Intellectual property

The Services and all associated materials — including software, source code, interfaces, designs, text, graphics, logos, and documentation — are owned by or licensed to Rosvetic and are protected by applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in the Services or our intellectual property beyond the limited, non-exclusive, non-transferable, revocable licence to use the Services solely as expressly permitted by these Terms.

The Rosvetic name, logo, and all related product names and marks are trademarks or trading names of Rosvetic. You may not use them without our prior written consent.

Your content

You retain all ownership rights in any data, code, files, or other content that you upload, submit, or create within the Services ("Your Content").

By submitting Your Content to the Services, you grant Rosvetic a limited, non-exclusive, royalty-free, worldwide licence to host, store, process, and transmit Your Content solely to the extent necessary to provide the Services to you.

You represent and warrant that: (a) you own Your Content or have all rights necessary to grant us the licence above; and (b) Your Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

We are not responsible for the accuracy, integrity, or legality of Your Content. You are solely responsible for Your Content and the consequences of sharing it.

Confidentiality

Each party may have access to information that is confidential to the other party. Each party agrees to: (a) hold the other party's confidential information in strict confidence; (b) not disclose it to any third party without prior written consent; and (c) use it solely for the purposes of these Terms.

This obligation does not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully known to the receiving party before disclosure; or (iii) is required to be disclosed by law or court order, provided that the disclosing party is given reasonable prior notice where legally permitted.

Privacy and data protection

Our collection, use, and processing of personal data is governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

Where you use the Services to process personal data on behalf of your organisation, you are responsible for ensuring that you have a lawful basis for that processing and that such processing complies with applicable data protection law.

Availability and modifications

We will use reasonable efforts to make the Services available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services — temporarily or permanently — at any time, with or without notice.

We reserve the right to update, change, or replace any part of the Services at our sole discretion. We will endeavour to provide reasonable notice of material changes where practicable.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ROSVETIC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE FREE FROM ERRORS OR DEFECTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ROSVETIC OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROSVETIC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF ROSVETIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ROSVETIC'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO ROSVETIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (£100).

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Rosvetic and its personnel from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

Termination

We may suspend or permanently terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, or if we are required to do so by law.

You may stop using the Services at any time. If you wish to close your account, please contact us at privacy@rosvetic.com.

Upon termination: (a) all licences granted to you under these Terms will immediately cease; (b) you must stop using the Services; and (c) provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

Changes to these Terms

We reserve the right to update or modify these Terms at any time. Where we make material changes, we will update the date at the top of this page and, where appropriate, notify you directly. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services.

Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. All other provisions will remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Rosvetic with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings of any kind.
